Welcome to JZJ Glass. These Terms of Service govern your use of our website, services, and interactions with JZJ Glass Co., Ltd. ("JZJ Glass," "we," "us," or "our"). By accessing our website, requesting quotes, or placing orders, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website, submitting inquiries, requesting quotes, or placing orders, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and JZJ Glass.

2. Services Description

JZJ Glass provides custom optical display glass manufacturing services including:

• CNC optical display glass cutting, shaping, and machining
• Optical coatings (AR/AF/AG/AS thin-film coatings)
• Chemical strengthening and physical tempering
• Chemical etching for anti-glare surfaces
• Silk screen printing and decorative glass
• Laminated safety glass manufacturing
• Edge grinding, polishing, and finishing
• Custom glass solutions per customer specifications

3. Quotations and Orders

• Quotation validity: All quotes are valid for 30 days from the date of issuance unless otherwise specified. Prices may change after this period due to material cost fluctuations.
• Order confirmation: Orders are subject to written confirmation by JZJ Glass. Verbal agreements are not binding until confirmed in writing.
• Technical specifications: Orders must be accompanied by clear technical drawings or specifications. DFM (Design for Manufacturing) feedback will be provided before production begins.
• Changes to orders: Changes to specifications, quantities, or delivery schedules after order confirmation may incur additional costs and affect lead times.

4. Pricing and Payment

• Currency: All prices are in USD unless otherwise specified in writing.
• Payment terms: Standard payment terms are T/T (Telegraphic Transfer): 30% deposit upon order confirmation, 70% balance before shipment.
• Alternative terms: Alternative payment terms (L/C, etc.) may be available for established customers and large orders, subject to credit approval.
• Late payments: Payments not made within agreed terms may incur late payment fees and/or result in production or shipment delays.
• Price adjustments: Prices are subject to change without notice due to raw material cost fluctuations, currency exchange rates, or other market factors.

5. Lead Times

• Estimated only: Lead times provided in quotes and order confirmations are estimates only, not guaranteed delivery dates.
• Sample orders: 5-10 working days typical for prototype samples.
• Production orders: 10-18 working days typical for production, depending on complexity and quantity.
• Force majeure: Delays due to force majeure events (natural disasters, supply chain disruptions, labor issues, government actions, etc.) are not our responsibility and do not constitute breach of contract.
• Expedited service: Rush/expedited service may be available with a surcharge - please inquire for availability and pricing.

6. Quality Claims

• Reporting timeframe: All quality claims must be reported in writing within 7 days of receipt of goods.
• Documentation required: Claims must include clear photographs showing the issue, lot numbers, and a written description of the problem.
• Investigation: We will investigate all claims promptly and may request returned samples for analysis.
• Remedies: Upon confirmation of a manufacturing defect, we will, at our discretion: (a) replace the defective goods, (b) repair the defective goods, or (c) issue a refund or credit for the defective portion.
• Exclusions: Claims for damage during shipping, improper installation, misuse, accidents, or normal wear and tear are not covered.

7. Returns and Refunds

• Custom products: Custom-manufactured products made to your specific specifications are generally not returnable unless defective.
• Standard products: Standard stock products may be returnable within 30 days, subject to restocking fees and prior approval.
• Return shipping: Return shipping costs are the responsibility of the customer unless the return is due to our manufacturing defect.
• Refund timeline: Approved refunds will be processed within 10 business days of receipt and inspection of returned goods.
• Credit notes: Credit notes may be issued in lieu of refunds at our discretion or customer request.

8. Intellectual Property

• Customer designs: You retain all intellectual property rights in your custom designs, drawings, and specifications that you provide to us.
• Our know-how: We retain all rights to our manufacturing processes, techniques, trade secrets, and proprietary knowledge.
• License to manufacture: By providing designs to us, you grant us a limited, non-exclusive license to use your designs solely for the purpose of manufacturing your ordered products.
• Confidentiality: We will keep your designs and specifications confidential and will not disclose them to third parties except as necessary for order fulfillment or as required by law.
• Website content: All content on our website (text, images, logos, etc.) is protected by copyright and may not be reproduced without our permission.

9. Limitation of Liability

• Liability cap: IN NO EVENT SHALL JZJ GLASS'S TOTAL AGGREGATE LIABILITY EXCEED THE INVOICE VALUE OF THE SPECIFIC GOODS GIVING RISE TO THE CLAIM.
• No consequential damages: WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF BUSINESS, DOWNTIME COSTS, OR THIRD-PARTY CLAIMS.
• Force majeure exclusion: No liability for delays or failures due to force majeure events beyond our reasonable control.
• Customer responsibility: You are responsible for verifying that our products meet your specifications before installation or use.
• Survival: This limitation of liability section shall survive termination of any agreement or completion of any order.

10. Governing Law

• Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
• Dispute resolution: Any disputes arising from these Terms shall first be resolved through good-faith negotiation.
• Arbitration: If negotiation fails, disputes shall be submitted to international arbitration as mutually agreed by the parties.
• Language: The English language version of these Terms shall control in case of any conflict with translations.
• Venue: Arbitration or legal proceedings shall take place in Shenzhen, China unless otherwise agreed.
